Come join our collaborative, people-focused, and innovative workplace as we embark upon this unique and exciting journey! * Job Summary: We are seeking a highly skilled and detail-oriented Corporate Counsel to join our legal team.
The successful candidate will play a vital role in safeguarding the organization's interests, ensuring legal compliance, and providing support to internal stakeholders.
As a Corporate Counsel, you will collaborate closely with business development, finance, and operations teams, offering legal guidance throughout various aspects of our operations.
*Responsibilities:* • Ensure legal compliance with relevant domestic and international laws and regulations, staying informed about changes affecting our industry.
• Prepare, review, and negotiate a wide range of contracts, including but not limited to vendor agreements, licensing agreements, confidentiality agreements, sales contracts, purchase orders and service contracts, ensuring compliance with company policies and applicable laws.
• Review, draft and revise documents in connection with corporate transactions and general corporate and business matters including operating agreements, bylaws, policies and procedures and other business documents.
• Provide legal opinions and advice in connection with contract, general corporate, employment, operational and compliance matters.
• Provide assistance to the senior legal counsel and management team on various compliance and projects as assigned.
• Assist with obtaining guidance regarding day-to-day legal issues that may occur on large manufacturing projects.
• Perform other duties as assigned.
*Qualifications:* · Juris Doctor (JD) degree from an accredited law school.
· Licensed attorney in good standing with at least one state bar in the U.
S.
· Minimum of 3-5 years of experience practicing contract law, preferably in the area of supply chain, procurement contracts or sales.
· In-depth knowledge of contract law, meticulous attention to detail in contract review, drafting, and management.
· Strong knowledge of corporate law, commercial transactions, including financing.
· Experience with international contracts.
· Excellent negotiation skills with the ability to resolve issues and challenges.
· Renewable energy and/or manufacturing industry experience is a plus.
